Open your registry editor (regedit.exe)
Go to : "HKEY_CURRENT_USER\Software\Crystal Dynamics\Tomb Raider: Underworld\Graphics"
You should find "DontDeferShaderCreation" and "DisableDynamicTextures" values.
Edit those values to "0".
Tell me what is happening once you've done it.

I know it's been a really long time since this thread was active, but I hadn't come across it until today... I sincerely want to thank you for your solution. Up to now, I thought that the only way to play Underworld in PC was to have shadows enabled..if I disabled it, the game would crash during the first cutscene of the Mediterranean Sea expedition, no matter which graphical settings I would use. But your solution worked, and now I can play the game the way I like (I.M.O. fullscreen effects and shadows really deteriorate some aspects of the graphical quality, so I prefer them disabled). So, once again, thank you very much, it's been a really long time I've been trying to find a solution
